These Terms of Use ("Terms") govern your access to and use of the website located at https://nyron.ai, the Nyron AI platform, AI-powered playbooks, subscription plans, software tools, digital workspaces, usage-based software credits, and all related products, applications, tools, and services (collectively, the "Services").
The Services are operated by NYRON AI INC, a Delaware corporation with its registered address at 8 The Green, Ste A, Dover, DE 19901, USA ("Nyron AI," "Company," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree, you must not use the Services.


2. Description of Services
Nyron AI provides software-as-a-service (SaaS), AI-powered workflow tools, interactive digital playbooks, structured reasoning tools, collaboration functionality, templates, usage-based software credits, enterprise software features, and related digital platform functionality.
Certain features may rely on third-party providers, AI infrastructure, integrations, or hosted services (e.g., Jira, Notion, Google Docs, Figma).
We may modify, improve, suspend, or discontinue any portion of the Services at any time.


3. Eligibility
You must be at least 16 years old and legally capable of entering into binding agreements to use the Services.
If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity.


4. Account Registration and Security
Certain features of Services require account registration.
You agree to:
provide accurate and complete information;
maintain updated account details;
keep credentials secure;
remain responsible for all activity under your account.

You must promptly notify us of unauthorized access or suspected security incidents.


5. Subscription Plans, Billing, and Payments
Certain Services require payment through subscription plans, enterprise contracts, or other commercial arrangements.
By purchasing paid Services, you agree that:
pricing is displayed on our website or communicated through approved commercial agreements;
subscription plans may renew automatically unless canceled in accordance with applicable billing terms;
enterprise pricing may be governed by separate written agreements;
additional usage-based charges may apply where clearly disclosed;
payment processing is handled by authorized third-party payment providers.

Where applicable, online payments, subscriptions, invoices, taxes, receipts, and refunds may be processed by authorized third-party payment providers or merchants of record. The applicable provider may appear as the seller or payment processor at checkout and on receipts.

We reserve the right to change pricing, plans, packaging, usage thresholds, or commercial terms.
Changes will not retroactively affect completed billing periods unless otherwise stated.


6. Trial Access
We may offer free trial access or limited promotional access.
Trial offerings may include restricted usage, feature limitations, or time-based expiration.
Unless explicitly stated otherwise, trial access does not automatically guarantee continued access after expiration.


7. Digital Delivery and Service Fulfilment
Nyron AI provides digital products and software services only. No physical goods are shipped.
Paid access is generally fulfilled electronically through account activation, access provisioning, workspace enablement, subscription activation, feature unlocks, access to digital playbooks, templates, usage-based software credits, or other digital delivery mechanisms.
Delivery is considered complete when access to the purchased Service is made available to the customer.
Enterprise software setup, onboarding support, integrations, or custom platform configuration may be governed by separate commercial agreements defining delivery milestones and acceptance terms.


8 Refunds and Cancellations
Refund eligibility, cancellation rights, billing disputes, and payment corrections are governed by our separate Refund Policy.
Where no separate agreement applies, users remain responsible for charges properly incurred under their account.
Cancellation of subscriptions may stop future renewals but generally does not entitle users to retroactive refunds unless explicitly stated.


9. Acceptable Use
You agree not to:

• use the Services unlawfully;
• violate intellectual property rights;
• upload harmful, fraudulent, deceptive, unlawful, or infringing content;
• attempt unauthorized access;
• interfere with platform operations;
• reverse engineer, scrape, or exploit the Services without authorization;
• misuse AI functionality for harmful, abusive, deceptive, or prohibited purposes;
• use the Services to create, distribute, or facilitate illegal, deceptive, abusive, adult, gambling, crypto-investment, medical, legal, financial-advice, deepfake, impersonation, malware, credential theft, or regulated professional service content;
• attempt to circumvent usage limits, billing systems, or security controls.

We may suspend or terminate access for violations.


10. User Content and AI Processing
Users retain ownership of content they lawfully submit.
By using the Services, you grant Nyron AI a limited, non-exclusive, worldwide license to host, process, store, transmit, display, and use submitted content solely as necessary to provide and operate the Services.
Users are solely responsible for ensuring they have legal rights to submit content.
Nyron AI may process prompts, uploaded files, workflows, methodologies, user-generated materials, and AI interactions to deliver requested functionality.
Private customer content will not be used to train third-party AI foundation models. Nyron AI will not use private customer content to train Nyron-owned models unless the customer has explicitly agreed or opted in. We may use aggregated, anonymized, or metadata-level information to improve service reliability, security, and product functionality.


11. AI Outputs Disclaimer
The Services may generate outputs using artificial intelligence technologies.
AI outputs may be incomplete, inaccurate, misleading, or unsuitable for specific purposes.
Users are solely responsible for reviewing, validating, and determining the appropriateness of generated outputs before reliance or implementation.
Nyron AI disclaims liability for reliance on AI-generated outputs.


12. Intellectual Property
All rights, title, and interest in the Services, software, branding, design, interfaces, systems, AI infrastructure, templates, and proprietary platform materials remain the property of NYRON AI INC or its licensors.
You retain all rights, title, and interest in the content, methodologies, frameworks, training programs, course materials, workflows, playbooks, and other intellectual property that you upload, create, configure, or generate through the Service (“Customer Content”).
Nyron AI does not claim ownership of your proprietary educational methodologies, frameworks, or business intellectual property.
You may use, distribute, share, publish, provide access to, or otherwise make available your Customer Content and created playbooks to your students, team members, facilitators, business clients, or other authorized third parties using the Service’s sharing features, subject to your selected access permissions and sharing settings.
By using the Service, you grant Nyron AI a non-exclusive, worldwide, royalty-free license to host, process, display, reproduce, and technically use your Customer Content solely for the purpose of operating, maintaining, improving, and providing the Service.
Nyron AI will not sell, sublicense, commercially exploit, or make your proprietary Customer Content available to third parties except as required to provide the Service or as otherwise authorized by you.
Except as expressly permitted, users may not copy, distribute, reproduce, sublicense, modify, reverse engineer, or commercially exploit the Service itself.


13. Third-Party Services and Integrations
The Services may integrate with or rely upon third-party providers.
Use of such services may be subject to separate third-party terms.
We are not responsible for third-party systems, availability, content, or conduct.


14. Privacy
Use of the Services is also governed by our Privacy Policy. Our Privacy Policy explains how we collect, use, and protect your data.
By using the Services, you acknowledge the processing of information described therein.


15. Disclaimer of Warranties
The Services are provided "as is" and "as available."
To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, suitability for a particular purpose, availability, uninterrupted access, and non-infringement of third-party rights.


16. Limitation of Liability
To the fullest extent permitted by law, NYRON AI INC shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Service.
Our total liability shall not exceed the amount paid (if any) for access to Nyron AI during the 12 months preceding the claim.


17. Suspension and Termination
We may suspend, restrict, or terminate access for:
policy violations;
security risks;
fraud concerns;
payment failures;
legal compliance requirements;
abusive conduct.

18. Changes to Terms
We may update these Terms periodically.
If changes are significant, we will notify users by email or via the platform. Continued use after updates constitutes acceptance of the new Terms.


19. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules.
